General Terms and Conditions (GTC) of Marketplace24-7 GmbH
1 Scope of application
1.1 These General Terms and Conditions (hereinafter "GTC”) apply to all contracts concluded via the platforms of Marketplace24-7 GmbH, Kantonsstrasse 1, 8807 Freienbach SZ (hereinafter "Operator”), between the Operator and the Users.
1.2 Marketplace24-7 GmbH operates several marketplaces for the brokerage of digital products, brands, licenses and business consulting services.
1.3 Deviating, conflicting or supplementary GTC shall only become part of the contract if the Operator has expressly agreed to them in writing.
2 Services of the Operator
2.1 The Operator offers a brokerage service via its platforms. The operator itself does not become a party to the contracts concluded between the users via the platforms.
2.2 The Operator merely provides the technical infrastructure for the brokerage and is not liable for the quality, safety, legality or availability of the products or services offered.
2.3 The use of the platforms may require registration. Certain functions are only available to registered users.
3 Registration and user account
3.1 Registration is required to use the Platforms. The data requested during registration must be complete and correct.
3.2 Users may not transfer their account to third parties and are obliged to keep their access data safe. The operator is not liable for unauthorized access to the user account.
3.3 The operator reserves the right to block or delete user accounts if these GTC or applicable law are violated.
4 Conclusion of contract
4.1 The conclusion of contracts via the Platforms takes place exclusively between the users of the Platform. The exact modalities of the conclusion of the contract depend on the respective offers and the conditions of the users.
4.2 The Operator is not obliged to check the legality, quality or suitability of the products or services offered via the Platforms.
4.3 Users may agree individual terms and conditions for the conclusion of a contract. The operator has no influence on this.
5 Prices and payment processing
5.1 The use of the Platform may be free of charge or subject to a fee. The fees incurred will be displayed to the user before the contract is concluded.
5.2 Payment processing between the users takes place directly between these parties, unless the operator provides optional payment services. In this case, the respective payment terms of the Operator shall apply.
5.3 The Operator is not liable for payment defaults or other problems that occur during payment processing between the Users.
6 Rights and obligations of users
6.1 Users are obliged to use the Platforms only in accordance with applicable law and these GTC.
6.2 Users may not post or disseminate any illegal, offensive or otherwise inappropriate content via the Platforms.
6.3 Users must ensure that they have all necessary rights to the products or services they offer.
7 Liability
7.1 The operator is only liable for damages caused by intentional or grossly negligent breach of duty.
7.2 No liability is assumed for indirect damages, loss of profit or third-party claims.
7.3 The operator is not liable for legal transactions between users and any resulting disputes.
8 Data protection
8.1 The processing of personal data is carried out in accordance with the applicable data protection laws. Further information can be found in the Operator's privacy policy.
8.2 The user consents to the collection, processing and use of his/her data by the operator insofar as this is necessary for the provision of the platforms and the services offered.
9 Termination and deletion
9.1 Users can terminate their user account at any time without giving reasons.
9.2 The operator reserves the right to delete or block user accounts in the event of a breach of these GTC or applicable law.
9.3 Fees already paid will not be refunded unless the account is blocked or deleted through no fault of the user.
10 Final provisions
10.1 The law of Switzerland shall apply. The place of jurisdiction is the registered office of Marketplace24-7 GmbH in Freienbach SZ.
10.2 Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions.
10.3 The operator reserves the right to amend these GTC at any time. Users will be notified of changes in good time by e-mail. The amended GTC shall be deemed accepted if the user does not object in writing within 14 days.
